Dear Shareholder
Share Purchase Plan – Letter to Eligible Shareholders
On behalf of the Board of ABx Group Limited (ASX: ABX) (ABx or Company), I am pleased to invite eligible
shareholders to participate in ABX's Share Purchase Plan (SPP). The SPP is available to shareholders with a
registered address in Australia or New Zealand as at 7.00pm (AEST) on Wednesday, 16 September 2026
(Record Date).
The SPP follows the successful placement announced on 17 September 2026, which raised approximately
$2.1 million (before costs) through the issue of shares at $0.031 per share together with one attaching option
for every two shares issued.
Under the SPP, eligible shareholders may apply for up to $30,000 worth of new fully paid ordinary shares in
the Company. The issue price of the SPP Shares will be the lower of:
$0.031 per Share; and
95% of the volume weighted average price of Shares traded on ASX over the five trading days up to
and including the SPP Closing Date, rounded down to the nearest $0.001.
Accordingly, shareholders will not know the final issue price at the time they submit their application. This
pricing mechanism ensures Eligible Shareholders have the opportunity to participate at the same or a lower
price than investors participating in the Placement.
Free-Attaching Options
For every two SPP Shares issued, participating shareholders will also receive one free attaching option
exercisable at $0.046 per option and expiring three years from the date of issue, subject to shareholder
approval at the proposed General Meeting to be held on 29 October 2026. The options will not be quoted
on ASX.
Directors Joycelyn Morton and Mark Cooksey have indicated their intention to participate in the SPP for up
to the maximum amount permitted under the SPP.
Use of Funds
Funds raised from the SPP and Placement will be used to advance the Company's Deep Leads rare earths
project in Tasmania, continue development of the ALCORE fluorine chemicals business and pilot plant,
progress near-term bauxite opportunities and provide additional working capital.
